Kudelski SA Shareholders Approve All Board Proposals at 2026 AGM

The Annual General Meeting of Kudelski SA (SIX:KUD.S) was held today at the company’s headquarters in Cheseaux-sur-Lausanne, with shareholders approving all proposals of the Board of Directors by a strong majority. The meeting saw attendance from 38 shareholders or their proxies, representing 63,952,062 shares out of a total of 97,809,214 shares. This high level of participation underscores the continued confidence of investors in the company's strategic direction.

Shareholders approved the 2025 annual report, Kudelski SA’s financial statements, the Group’s 2025 consolidated accounts and profit allocation, as well as the 2025 report on non-financial matters. They also approved the compensation report for the Board of Directors and the Executive Board, and granted discharge to both bodies for the fiscal year 2025. The strong majority support for these items indicates alignment between management and shareholders on the company's performance and governance.

All members of the Board of Directors proposed for re-election were re-elected for a one-year term: Mrs. Marguerite Kudelski and Messrs. Laurent Dassault, Michael Hengartner, Andre Kudelski, Pierre Lescure, Alec Ross, and Claude Smadja. Mr. Andre Kudelski was also re-elected as Chairman of the Board of Directors. Notably, Mr. Patrick Foetisch retired from the Board after more than 35 years of service. The company expressed gratitude for his outstanding contributions to shaping the Group’s development. Ms. Helene Beguin was elected as a new member of the Board for a one-year term, effective from April 14, 2026. Ms. Beguin brings extensive financial and governance expertise, having been a partner at KPMG from 2004 to 2025 and serving on the board of directors of KPMG Suisse from 2014 to 2024, including as its chairwoman. She holds a Master's degree in Business Administration from HEC Lausanne and is a certified public accountant. Her appointment strengthens the board’s financial oversight capabilities.

Shareholders also elected Messrs. Michael Hengartner, Pierre Lescure, Alec Ross, and Claude Smadja as members of the Remuneration and Nomination Committee for a one-year period. PricewaterhouseCoopers SA in Lausanne (Pully) was re-elected as the Group’s audit firm for a one-year period, and Ofisa Berney Associés SA, in Lausanne, was elected as independent representative for a one-year period. These decisions ensure continuity in auditing and shareholder representation.
