Invech Holdings Secures $10M ELOC and Implements Anti-Dilution Measures

Invech Holdings Secures $10M ELOC and Implements Anti-Dilution Measures

Invech Holdings, Inc. (OTC PINK: IVHI), a Nevada corporation headquartered in Wyoming that specializes in SaaS and general applications, has signed a $10 million USD S-1 ELOC financing agreement, as disclosed in an SEC filing. CEO and majority owner Alexander M. Woods-Leo stated that the financing aligns with the company's long-term growth strategy, with at least 60% of proceeds allocated to real estate acquisitions for long and short-term rentals, and approximately 10% dedicated to the development of the new platform ParagonRentals.ai. The company plans to disclose a full use-of-funds schedule upon filing the S-1.

To address shareholder concerns about dilution, Invech announced a “no nonsense dilution awareness” initiative. The majority owner will match share issuances by retiring an equivalent number of his own shares to treasury. Under the S-1 ELOC, management may register up to 30% of outstanding shares, roughly 30 million shares. For each drawdown, Woods-Leo will retire a corresponding number of shares. For example, if $100,000 is drawn and 1,000,000 shares are issued at $0.10 per share, an equal number of management shares will be returned to treasury.

Similarly, for a recent debt note issued in consideration for ParagonRentals.ai assets, which is convertible into 10 million common shares, management will retire shares as the note converts. Additionally, a prior management note convertible into 2 million shares will see the same treatment. In total, Woods-Leo plans to dedicate up to 42 million of his common shares to treasury upon conversions and drawdowns to prevent unnecessary dilution.

Invech also plans to amend the preferred share structure. Currently, 300,000 Preferred A shares grant 300 million common shares upon conversion. Management intends to remove the conversion preference entirely, instead designating the class to carry 80% voting power regardless of common and preferred shares issued. Woods-Leo described the 300 million conversion as “crazy” and emphasized the focus on value over dilution.

ParagonRentals.ai is a subscription-based platform allowing sellers to list with 0% commissions, while buyers pay a flat $5 per booking plus processing fees.
