Greenland Mines Completes Sarfartoq Acquisition, Paving the Way for a Major Non-Chinese Rare Earth Supply Source

Greenland Mines (NASDAQ: GRML) has closed its acquisition of the Sarfartoq Nd-Pr Rare Earths Project in southwest Greenland, a move that could significantly reshape the global supply chain for neodymium and praseodymium (NdPr), critical components in permanent magnets used in electric vehicles and wind turbines. The transaction, valued at $20 million in cash and $15 million in securities, was announced on Sept. 1, 2026, and positions the company to advance the project toward a pre-feasibility study.

The Sarfartoq project is planned to produce an annual average of NdPr oxide that would represent approximately 34% of all NdPr oxide refined outside China at 2025 consumption levels during each of the project's nine scheduled operating years. This underscores the project's potential to become a major non-Chinese source of these strategically important rare earth elements. An independent Initial Assessment based solely on the ST1 deposit estimates a high-case pre-tax net present value (NPV) of approximately $2.05 billion and a pre-tax internal rate of return (IRR) of 118.6%, including Indicated and Inferred Mineral Resources.

With the acquisition complete, Greenland Mines will initiate a comprehensive work program including targeted infill drilling, pilot-scale metallurgical test work, mine engineering planning, environmental and social baseline studies, and drone-based magnetic surveys. These activities are designed to support the advancement of Sarfartoq toward a Pre-Feasibility Study, which will provide more detailed technical and economic evaluations.

In a related strategic development, Neo Performance Materials has become a shareholder in Greenland Mines through the transaction. Neo retains offtake rights for up to 60% of future Sarfartoq ore or mineral concentrate production, which will be processed at its Silmet rare earth separation facility in Estonia. This partnership is a key element in Greenland Mines' broader vision of creating a North Atlantic Critical Metals Corridor linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.

The acquisition is a critical step for Greenland Mines, as it diversifies its portfolio beyond the Skaergaard Project in southeast Greenland, which is focused on gold and platinum group metals. The company's strategy is centered on building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. This aligns with global efforts to reduce dependence on Chinese rare earth processing and secure supply chains for technologies essential to the energy transition.

The importance of this acquisition cannot be overstated. As demand for electric vehicles and renewable energy technologies grows, so does the need for a reliable, non-Chinese supply of rare earth elements. Sarfartoq's potential to contribute significantly to the non-Chinese NdPr market could help stabilize prices and ensure supply security for manufacturers in North America and Europe. The project's robust economics, as indicated by the high NPV and IRR, further enhance its attractiveness.

Greenland Mines' management has expressed confidence in the project's potential and the company's ability to execute its development plan. However, as with all forward-looking statements, there are risks and uncertainties that could cause actual results to differ materially from expectations. These include geological, technical, regulatory, and market risks, as detailed in the company's filings with the Securities and Exchange Commission.
