G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, the company announced. The transaction creates what G Mining describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana, combining the adjacent Oko West and Oko-Ghanie deposits.

Under the terms of the arrangement, each G2 share was exchanged for 0.212 common shares of GMIN and 0.50 common shares of G3 Goldfields, a newly spun-out entity. The consolidation of the contiguous properties is expected to generate significant operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity and enhanced operational flexibility, according to the company.

G Mining noted that previously disclosed mineral resource estimates for the Oko-Ghanie Project, originally prepared by G2 Goldfields, should be considered historical estimates under National Instrument 43-101 and do not represent current mineral resources from GMIN’s perspective. The company stated it will undertake additional geological modeling, data integration and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report in 2027.

The acquisition positions G Mining Ventures to become a mid-tier precious metals producer, leveraging its development expertise and strong access to capital. The company is currently focused on projects in mining-friendly jurisdictions, including Brazil’s Tocantinzinho Gold Mine and Gurupi Project, as well as the Oko West Project in Guyana.
