Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, has announced the closing of a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment marks a significant endorsement of Edgewater's technology and its roadmap toward prototype validation and commercial engagements.
The private placement, which closed in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units. Each unit consists of one common share and one warrant, exercisable at $0.09 per share for two years. The second tranche, which closed on September 8, 2026, included participation from SCA and Edgewater Chairman Brian Imrie, who invested an additional $96,000. This strategic capital injection is earmarked for semiconductor design, engineering, and product development related to the company's Spectrum Slicing™ prototype.
The investment from Silicon Catalyst Angels is particularly notable as it brings not only capital but also deep semiconductor industry expertise. SCA, established in 2019, is comprised of experienced semiconductor executives, technologists, and investors who provide strategic guidance and access to a vast network of industry contacts. This aligns with Edgewater's existing relationship with Silicon Catalyst, which began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to over 500 industry experts and several million dollars' worth of in-kind design, fabrication, and commercialization resources.
